1. Agreement and Service Operator
These Terms of Use (“Terms”) are a legal agreement between you and Apex North LLC, an Oregon limited liability company, which operates the Waterline IQ service. “Waterline IQ,” “we,” “us,” and “our” refer to Apex North LLC in its operation of Waterline IQ.
These Terms apply to the public website at waterlineiq.com, the signed-in application at app.waterlineiq.com, related content, communications, subscriptions, and services (together, the “Service”). Waterline IQ is a service and brand operated by Apex North LLC.
By accessing or using the Service, requesting or accepting an account, or purchasing a subscription, you agree to these Terms and acknowledge our Privacy Policy. If you use the Service for a company or other organization, you represent that you have authority to bind that organization, and “you” includes both you and the organization.
If you do not agree to these Terms, do not use the Service.
2. Eligibility and Business Use
You must be at least 18 years old to use the Service. Accounts are offered only to businesses and professionals in the United States. The Service is intended for professional and business use, not personal, family, or household use.
Waterline IQ may approve, reject, limit, or discontinue access based on the Service’s supported markets, licensed coverage, account status, security considerations, or business requirements.
3. What Waterline IQ Provides
Waterline IQ is a research and workflow product for public water-infrastructure intelligence. It may organize and present information concerning Projects, Owners, Firms, Contacts, Signals, Solicitations, Bid results, Permits & approvals, funding, procurement, awards, timelines, source coverage, and official evidence.
Some reviewed information may be available publicly. Detailed intelligence and private workflow features, including Watchlists and Signal review state, require an authorized account and may require a paid subscription.
Waterline IQ may provide summaries, analysis, forecasts, confidence labels, qualification context, expected milestones, and other research support. Waterline IQ is not a government agency, issuing authority, procurement portal, engineering firm, law firm, accounting firm, financial adviser, estimator, bid-submission service, or guarantee of work, funding, qualification, permits, awards, or commercial results.
4. Accounts and Authentication
Accounts may be manually approved or provisioned. You must provide accurate, current information and keep it updated.
You are responsible for maintaining the security of your authentication method, devices, and account and for all activity under your account. You must not share credentials, allow another person to use your account, or bypass authorized-user or licensed-coverage limits. Notify us promptly at support@waterlineiq.com if you suspect unauthorized access or account misuse.
Each account is for the authorized user and organization for which it was approved. Accounts and subscriptions may not be sold, transferred, sublicensed, or reassigned without our written permission.
Waterline IQ operators may access account and private workflow information when reasonably necessary to operate, secure, administer, review, and support the Service, as described in the Privacy Policy.
5. Subscriptions, Billing, Renewal, and Cancellation
Some public, complimentary, or evaluation access may be available. Detailed access may require a paid plan. A plan may be limited by authorized users, organization, licensed state or geographic coverage, features, usage, or other terms shown at checkout, in the Service, or in an order form.
5.1 Monthly Automatic Renewal
If you purchase a paid monthly subscription, it renews automatically each month until it is canceled. By purchasing a subscription, you authorize Waterline IQ and Stripe to charge the payment method on file for the then-current subscription fee and any applicable taxes at the start of each billing period.
For subscriptions processed through Stripe, Stripe provides checkout, recurring billing, and the customer billing portal. Stripe’s terms and privacy practices also apply to its services.
5.2 Cancellation
You may cancel a paid subscription through the Stripe Customer Portal. To avoid the next charge, cancel before the next renewal date shown in the portal. Cancellation takes effect at the end of the current paid billing period, and access remains available through that period unless the account is suspended or terminated for another reason.
5.3 Refunds
Fees are nonrefundable, and we do not provide prorated refunds or credits for partial billing periods, unused time, downgrades, or early cancellation, except when required by law or expressly stated in a written order form.
5.4 Complimentary, Trial, and Evaluation Access
The launch subscription offer includes a 14-day trial unless checkout expressly states otherwise. A valid payment method is required. Stripe will display the monthly price and trial-end date before you confirm. Unless you cancel before that date, the paid monthly subscription begins automatically and Stripe charges the payment method on file. You can cancel through the Stripe Customer Portal during the trial.
Free, pilot, beta, complimentary, or other evaluation access may be limited, modified, or ended at any time and may be subject to additional written conditions.
5.5 Price Changes
We may change subscription prices by giving at least 30 days’ notice before the new price applies to an existing subscription. A price change will take effect no earlier than the next renewal after the notice period. You may cancel before the change takes effect.
5.6 Taxes and Failed Payments
Applicable taxes may be added where required by law. You are responsible for maintaining a valid payment method and accurate billing information. If a payment fails, we or Stripe may retry the charge, request updated payment information, and suspend or terminate paid access after reasonable notice.
5.7 Order Forms and Separate Agreements
An order form, proposal, invoice, enterprise agreement, or other written agreement accepted by Waterline IQ may contain additional commercial terms. If it conflicts with these Terms, the signed or expressly accepted written agreement controls for the conflicting subject matter.
6. License and Permitted Use
Subject to these Terms and payment of applicable fees, Waterline IQ grants you a limited, nonexclusive, nontransferable, nonsublicensable, and revocable right to access and use the Service during the applicable subscription or access period for your internal business purposes.
Permitted purposes include professional research, qualification, estimating support, preconstruction, business development, market analysis, and pursuit decisions relating to public water-infrastructure work.
You may use limited excerpts, screenshots, or exports from the Service in internal business materials and in ordinary proposals, qualifications, and client communications when:

The use is reasonably related to your business purpose;

Waterline IQ is clearly attributed;
-
The excerpt is not presented as an official government determination;
-
The excerpt does not disclose another customer’s private information; and
-
The use does not substitute for, reproduce, or redistribute a substantial portion of the Service or database.
No API, automated access, bulk export, redistribution, publication, or other right is granted unless a feature, order form, or separate written agreement expressly allows it.
7. Acceptable Use and Restrictions
You may not, directly or indirectly:

Share credentials or permit access by an unauthorized person;

Exceed licensed seats, users, states, geographic coverage, features, or usage limits;

Scrape, crawl, spider, harvest, bulk-download, or use automated means to access or extract the Service without written permission;

Copy, mirror, republish, distribute, sell, resell, rent, sublicense, or commercially exploit the Service or a substantial part of its database;

Use Waterline IQ content to build, train, improve, validate, or operate an external AI model, competing database, lead-generation product, market-intelligence service, or substantially similar product without written permission;

Circumvent access controls, rate limits, security measures, or technical restrictions;
-
Reverse engineer, decompile, disassemble, or attempt to discover source code or nonpublic methods, except to the limited extent a restriction is prohibited by law;
-
Interfere with the Service, introduce malware, probe vulnerabilities, or disrupt another user;
-
Misrepresent Waterline IQ analysis as an official finding, agency statement, engineering conclusion, legal determination, or procurement decision;
-
Use public professional contact information for unlawful spam, harassment, discrimination, deceptive outreach, or any purpose prohibited by law;
-
Upload information you do not have authority to share;
-
Upload confidential or sensitive infrastructure information, including vulnerability details, emergency-response information, security designs, internal SCADA information, network information, or malicious files;

Use the Service to violate law, regulation, contract, intellectual-property rights, privacy rights, publicity rights, or other rights; or
-
Encourage, assist, or enable another person to do any of the above.
8. User Content
“User Content” means information you submit through the Service, including customer messages, issue reports, feedback, optional attachments, and other private workflow information.
You retain ownership of your User Content. You grant Waterline IQ a nonexclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit, display internally, and otherwise use User Content only as reasonably necessary to provide, secure, support, investigate, improve, and administer the Service; comply with law; and enforce these Terms.
You represent that you have the rights and authority needed to submit User Content and permit this use. You are responsible for User Content and must not submit unlawful, malicious, infringing, confidential, or sensitive information that you are not authorized to provide.
User Content is not displayed to other customers unless you direct or authorize sharing through a Service feature or separate agreement.
9. Public Records, Professional Information, and Corrections
Waterline IQ retrieves and presents information from official public records and other public sources. Public-source professional information may include names, roles, affiliations, official work contact information, and participation in Projects, Solicitations, bids, awards, permits, contracts, or other public infrastructure activity.
People and organizations may report a data or classification issue through the Service or at support@waterlineiq.com. We may correct, annotate, suppress from display, or supersede inaccurate presentation when appropriate. We may preserve official source documents, evidence provenance, audit history, legal records, and correction history when reasonably necessary for accuracy, integrity, security, or legal purposes.
10. Waterline IQ Intellectual Property
Waterline IQ and its licensors retain all rights in the Service, including its software, design, interfaces, branding, trademarks, curation, selection, arrangement, taxonomies, classifications, summaries, original analysis, forecasts, confidence labels, and presentation, to the extent protected by law.
Rights in government records, agency documents, third-party materials, and underlying public facts remain subject to their issuers, owners, and applicable law. Our inclusion or linking of a public document does not transfer ownership of that document to Waterline IQ or to you. The compilation, organization, review, annotation, and presentation of public-source material may be protected independently.
Except for the limited license in Section 6, these Terms do not grant you any right in Waterline IQ intellectual property.
11. AI-Assisted Analysis and Forecasts
AI tools may assist in processing public-source documents and preparing Waterline IQ analysis. Waterline IQ personnel may review, edit, approve, or reject AI-assisted output.
Waterline IQ analysis and forecasts support professional research and qualification. They are not official findings, guarantees, or automated decisions about individuals. You may not present them as controlling agency determinations.
Private Watchlists, customer messages, issue-report attachments, and other private customer information are not sent to AI providers, and customer information is not used to train third-party AI models.
12. Official-Source Verification and Independent Due Diligence
You must verify material information with the issuing agency or other controlling official source before relying on it. This includes deadlines, addenda, instructions, eligibility, scope, funding, permits, approvals, bid results, award status, contract status, and submission requirements.
Official sources may be revised, removed, replaced, delayed, incomplete, conflicting, or incorrect. Waterline IQ coverage may also be incomplete, delayed, or incorrect.
In particular:

Placement on a funding or priority list does not necessarily mean funding has been awarded;

A bid received, apparent low bid, intent to award, authorized award, awarded status, and executed contract are different states;

A forecast or expected milestone is not an official schedule or decision; and
-
A link, excerpt, summary, or evidence record may not include every controlling document, revision, or addendum.
You remain responsible for your own due diligence, professional judgment, bids, submissions, estimates, qualifications, decisions, and compliance. Waterline IQ does not provide legal, engineering, accounting, investment, procurement, bidding, estimating, or other licensed professional advice.
13. Third-Party Sites and Materials
The Service may link to government websites, procurement portals, agency pages, documents, and other third-party resources. Those resources are controlled by their publishers, not Waterline IQ. We do not control or guarantee their availability, content, security, terms, privacy practices, or continued accuracy.
Your use of third-party resources is subject to the third party’s terms and policies.
14. Feedback
If you provide ideas, suggestions, or other feedback about the Service, you grant Waterline IQ a perpetual, irrevocable, worldwide, royalty-free right to use and incorporate that feedback without restriction or compensation, provided that we do not publicly identify you as the source without permission.
15. Suspension and Termination
You may stop using the Service at any time and may cancel a paid subscription as described in Section 5.
We may suspend, limit, or terminate access if:

You violate these Terms or an order form;

Fees remain unpaid;
-
Your use creates a security, legal, or operational risk;
-
We reasonably suspect fraud, abuse, credential sharing, scraping, or unauthorized access;
-
Suspension is necessary to protect the Service, users, public agencies, or third parties;
-
We are required to do so by law; or
-
We discontinue the applicable Service or supported market.
Where reasonable, we will provide notice and an opportunity to cure before termination, but we may act immediately when needed for security, legal compliance, or prevention of harm.
On termination, your right to use the Service ends. Cancellation or termination does not erase fees already owed. Data export, deletion, retention, and post-termination handling are governed by the Privacy Policy, applicable law, and any order form. Sections that by their nature should survive termination will survive, including restrictions, intellectual property, disclaimers, liability limits, indemnification, dispute provisions, and general terms.
16. Changes to the Service or These Terms
We may change, add, suspend, or discontinue features, sources, coverage, plans, or parts of the Service. Unless a separate written agreement states otherwise, we do not guarantee that any feature, source, record, or coverage area will remain available.
We may update these Terms. We will post the revised Terms with a new effective date and provide additional notice for material changes where appropriate or required by law. Your continued use after the revised Terms take effect constitutes acceptance. Changes to subscription prices are governed by Section 5.5.
17. Disclaimer of Warranties
To the maximum extent permitted by law, the Service is provided “as is” and “as available.” Waterline IQ disclaims all express, implied, and statutory warranties, including warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, completeness, availability, security, and uninterrupted operation.
We do not warrant that the Service will identify every Project, opportunity, Signal, Solicitation, permit, funding source, bid, award, firm, contact, or material change; that official sources will remain available or accurate; that errors will be corrected by a particular time; or that use of the Service will result in qualification, work, funding, permits, awards, revenue, savings, or any other outcome.
Some jurisdictions do not allow certain warranty disclaimers, so some disclaimers may not apply to you.
18. Limitation of Liability
To the maximum extent permitted by law, Apex North LLC and its members, managers, officers, employees, contractors, affiliates, licensors, and service providers will not be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages; loss of profits, revenue, business, opportunities, contracts, data, goodwill, or anticipated savings; or the cost of substitute services, arising out of or relating to the Service or these Terms, even if advised that such damages were possible.
To the maximum extent permitted by law, the total aggregate liability of Apex North LLC and the parties listed above for all claims arising out of or relating to the Service or these Terms will not exceed the total subscription fees you paid to Waterline IQ during the 12 months immediately before the event giving rise to the claim.
These limitations apply regardless of the legal theory and even if a remedy fails of its essential purpose. They do not limit liability that cannot legally be limited or excluded.
19. Indemnification
You will defend, indemnify, and hold harmless Apex North LLC and its members, managers, officers, employees, contractors, affiliates, licensors, and service providers from claims, demands, proceedings, damages, losses, liabilities, judgments, settlements, costs, and reasonable attorneys’ fees arising out of or relating to:

Your User Content;

Your use or misuse of the Service;

Your violation of these Terms, an order form, or applicable law;

Your violation of another person’s intellectual-property, privacy, publicity, contractual, or other rights; or
-
Your bids, submissions, outreach, professional services, business decisions, or reliance on information from the Service.
We may control the defense and settlement of a covered claim, and you will reasonably cooperate. You may not settle a claim in a way that admits fault by or imposes obligations on Waterline IQ without our written consent.
20. Governing Law and Venue
These Terms are governed by the laws of the State of Oregon, without regard to conflict-of-law rules.
Any dispute, claim, or proceeding arising out of or relating to the Service or these Terms must be brought exclusively in the state courts located in Lane County, Oregon, or the federal courts serving Lane County, Oregon. You and Apex North LLC consent to the personal jurisdiction and venue of those courts.
These Terms do not require arbitration.
21. General Terms
21.1 Notices and Electronic Communications
You agree that we may provide account, billing, legal, and Service notices electronically, including through the Service or by email to the address associated with your account. You are responsible for keeping that address current.

21.2 Assignment
You may not assign or transfer these Terms or an account without our written consent. We may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or by operation of law.
21.3 Force Majeure
Waterline IQ is not responsible for delay or failure caused by events beyond its reasonable control, including internet or hosting outages, third-party source failures, government action, labor disputes, natural disasters, severe weather, war, terrorism, civil unrest, epidemics, utility failures, or cyberattacks not caused by our failure to use reasonable safeguards.
21.4 Severability, Waiver, and Headings
If a provision is found unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will remain effective. A waiver must be in writing and applies only to the specific instance. Headings are for convenience and do not affect interpretation.
21.5 Entire Agreement
These Terms and any applicable order form or separate written agreement are the entire agreement concerning the Service and replace prior or contemporaneous discussions about the same subject. The Privacy Policy describes our data practices. No purchase order or other customer form changes these Terms unless Waterline IQ expressly agrees in writing.
21.6 No Third-Party Beneficiaries
These Terms do not create rights for anyone other than you and Apex North LLC, except that the protected parties identified in Sections 18 and 19 may enforce those sections.
